Terms and Conditions

These Terms and Conditions (the “Agreement”) govern the use of services provided by Studio NT (the “Architect,” “we,” or “us”), a freelance architectural design service based in South Africa. By engaging in our services, you (“Client,” “you,” or “your”) agree to these terms.

1. Services Provided

Studio NT offers freelance architectural services, including but not limited to:

• Architectural design and planning

• Project management

• Site assessments and evaluations

• Architectural drawings and specifications

• 3D visualizations

• Consulting and advisory services

All services will be provided in accordance with the law and building regulations.

2. Engagement of Services

The Client may engage Studio NT for specific projects by signing a formal agreement or through a written or electronic confirmation of the scope of work. Upon agreement, Studio NT will provide an estimate of costs, timelines, and deliverables, which may be subject to change depending on the project complexity or unforeseen circumstances.

3. Fees and Payment Terms

• Fees: The Client agrees to pay for services rendered by Studio NT according to the agreed-upon fee structure, which may be hourly, fixed-price, or milestone-based. All fees are exclusive of VAT.

• Payment Terms: Payments are due according to the milestones outlined in the signed agreement or invoice. Payments must be made within 14 days of receipt of an invoice unless otherwise agreed.

• Late Payments: If payments are not received within the specified time, Studio NT reserves the right to charge interest at the rate of [insert %] per month on any outstanding balance.

4. Intellectual Property

• All designs, drawings, models, and related materials provided by Studio NT remain the intellectual property of Studio NT until full payment is received.

• Upon full payment, the Client may use the deliverables solely for the intended project. Any commercial use outside the project scope or alterations to the work without prior consent from Studio NT is prohibited.

5. Client Responsibilities

The Client agrees to:

• Provide all necessary information, documents, and permissions needed for the completion of the project.

• Ensure access to the site for site visits, if applicable.

• Comply with local laws, including building codes and zoning regulations, for any construction or alteration work.

• Notify of any changes in project scope or requirements as soon as possible.

6. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information shared during the course of the project. Studio NT will not disclose any proprietary or confidential information related to the Client’s business without prior consent, except where required by law.

7. Limitation of Liability

Studio NT will take reasonable care in performing services but will not be liable for any loss, damage, or expense arising from delays, errors, or omissions in the execution of the project, unless caused by gross negligence or willful misconduct.

• The maximum liability of Studio NT under this Agreement will not exceed the total amount paid by the Client for the specific services that caused the issue.

8. Termination

Either party may terminate the Agreement with written notice, subject to the following:

• If the Client terminates the Agreement before the project’s completion, the Client is responsible for paying for all work completed to date.

• If Studio NT terminates the Agreement due to non-payment or non-cooperation, the Client will remain responsible for payment of all work completed.

9. Force Majeure

Neither party will be held responsible for delays or failure to perform due to circumstances beyond their control, including but not limited to natural disasters, strikes, acts of government, or other unforeseen events.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the country. Any disputes arising out of or in connection with this Agreement shall be resolved by the courts.

11. Amendments

Studio NT reserves the right to modify or update these Terms and Conditions at any time. Any amendments will be communicated to the Client, and the updated terms will apply to future services provided.

By engaging Studio NT’s services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
